The thesis analyzes the drag-along clause and investigates the possibility of introduce the drag along clause by the majority of the shareholders, without the consent of the minority. Such interpretation is confirmed by the voluntary winding-up proceeding, whose effects are boradly equivalent to the ones determined by the drag-along clause.
