The note, taking as its starting point a decree of the Court of Trieste, examines the issue of the power to determine the remuneration of a liquidator appointed by the court pursuant to Article 2487, paragraph 2 of the Italian Civil Code. In particular, the paper seeks to clarify whether, in the absence of a share- holders’ resolution, the liquidator may, instead of commencing separate conten- tious proceedings, obtain the quantification of his remuneration directly from the appointing court in voluntary jurisdiction proceedings.
La nota, prendendo le mosse da un decreto del Tribunale di Trieste, si interroga sulla competenza a determinare il compenso del liquidatore nei casi in cui lo stesso sia stato nominato giudizialmente ex art. 2487, co. 2 c.c. In partico- lare, il lavoro mira a chiarire se sia o meno legittimo che, in assenza di una deter- minazione assembleare, il liquidatore, anziché avviare un autonomo giudizio con- tenzioso, possa ottenere la quantificazione dei propri emolumenti direttamente dal giudice che lo ha nominato, in sede di volontaria giurisdizione
