Revocatoria nei confronti di un trustee amministratore della società detenuta in trust (Trib. Cassino, 16 ottobre 2024)

The author’s view The revocatory action under consideration concerns a trust of shareholdings, whose trustee, in addition to being a shareholder, is also the director of the company involved. The position of the so-called trustee-director, on which the decision allows to reflect, is very frequent in the systems where the trust was born but very rare in the Italian system. It is an intersection between corporate law and trust law, whereby can try to overcome the conflicts of interest that may arise. It is indeed a solution which can bring both efficiency and effectiveness to the instrument and the company involved, but only ifthe aim above all of fulfilling the information and supervision obligations on the trustee, as per the jurisdictions where the trust was born, is well framed.

Tesi L’azione revocatoria oggetto del contributo riguarda un trust di partecipazioni societarie, il cui trustee, oltre a essere socio, riveste anche la carica di amministratore della società coinvolta. L’ufficio del c.d. trustee-director, su cui la pronuncia permette di riflettere, è piuttosto frequente negli ordinamenti di origine, ma assai raro nell’ordinamento italiano. Si tratta di un’intersecazione tra diritto societario e diritto dei trust, con cui si possono provare a superare i conflitti d’interessi che ne rischiano di derivare. È infatti una soluzione che può portare efficienza allo strumento e alla società coinvolta, se però viene ben compreso l’obiettivo soprattutto di adempiere agli obblighi di informazione e di supervisione indicati negli ordinamenti di origine in capo al trustee.
