In chapter 1 and 2 we provide a theoretical framework that analysis drivers, paths, and tools financial intermediaries apply in their diversification strategy. Managing a complex firm is difficult, since it requires a well planned and focused organizational structure. Chapter 3 analysis potential sources of disruption in managing external growth. In particular we focus on corporate governance implementation and risk management issues arising when financial intermediaries are involved in M&A deals. We finally use a methodological approach capable to isolate strategic and organisational fit between bidder and target banks which influences post merger performance (chapter 4).
